Terms of Service — InvestorOS

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you ("Client," "you," or "your") and Pinnacle Holdings Group LLC ("InvestorOS," "we," "us," or "our"), governing your use of the InvestorOS platform available at investoros.tech (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

InvestorOS is an AI-powered business automation platform designed for contractors, real estate investors, and service businesses. The Service includes:

• AI Agents: Automated software agents that perform tasks on your behalf including SEO content creation, lead response via SMS, social media management, analytics reporting, and other services described in your plan
• Hosted Website: A professionally designed website hosted by InvestorOS under your domain or a provided subdomain (Growth and Pro plans)
• Business Phone Number: A dedicated business phone number provisioned via Telnyx for AI-powered lead reception (Growth and Pro plans)
• Business Email: A professional email address under your domain (all plans)
• CRM and Data Storage: Lead management, content queue, and business data storage within our Airtable-powered workspace
• Social Media Management: Content creation and publishing to your connected Facebook and Instagram accounts via authorized integrations
• Google Business Profile Management: Management of your GBP listing via delegated manager access
• Dashboard: Access to the InvestorOS tenant dashboard at investoros.tech/[your-slug]

The specific features available to you depend on your subscription plan (Starter, Growth, or Pro).

3. Subscription Plans and Billing

3.1 Plans

We offer the following subscription tiers (pricing subject to change with 30 days notice):

• Starter: $197/month
• Growth: $397/month
• Pro: $997/month
• Enterprise: Custom pricing

3.2 Billing

• Subscriptions are billed monthly in advance via credit card through Stripe
• Your subscription renews automatically on the same date each month unless cancelled
• All fees are in USD and are non-refundable except as described in Section 3.4

3.3 Price Changes

We reserve the right to change subscription prices with 30 days advance notice via email. Continued use after the effective date constitutes acceptance of new pricing.

3.4 Refund Policy

• First 7 days: If you are unsatisfied within the first 7 days of your initial subscription, contact us for a full refund
• After 7 days: No refunds are issued for partial months. You may cancel at any time and retain access until the end of your current billing period
• Setup fees: Non-refundable once provisioning (phone number, website, email) has been completed

3.5 Cancellation

You may cancel your subscription at any time through the dashboard or by emailing support@investoros.tech. Upon cancellation:

• You retain access until the end of your paid period
• We will provide a CSV export of your data within 7 days of cancellation request
• Your hosted website, phone number, and email will remain active for 30 days post-cancellation, then decommissioned
• All your data is deleted within 30 days of decommission

4. Your Responsibilities and Acceptable Use

4.1 Account

• You are responsible for maintaining the security of your account credentials
• You must notify us immediately at support@investoros.tech if you suspect unauthorized access
• You may not share your account with others or allow multiple users to access a single account (additional user seats available on Pro plan)

4.2 Business Information

• You must provide accurate business information during onboarding
• You are responsible for ensuring your business is legitimately licensed and insured in your operating jurisdiction
• You must promptly update your business information if it changes

4.3 Third-Party Integrations

By connecting your accounts (Facebook, Google, etc.) to InvestorOS, you:

• Confirm you have the legal right to authorize our access
• Agree to the terms of service of those third-party platforms
• Understand that our access is subject to those platforms' approval and may be revoked by them

4.4 SMS and Phone Compliance — TCPA

This section is critical. Violation may result in immediate account termination.

You agree that all SMS and automated phone communications sent through InvestorOS on your behalf will:

• Only be sent to individuals who have given prior express written consent to receive automated messages from your business
• Include proper business identification in every message
• Provide clear opt-out instructions (STOP to opt out)
• Honor opt-out requests immediately and permanently
• Comply with all applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable state laws

You are solely responsible for obtaining and documenting consent from your customers. InvestorOS provides template opt-in language during onboarding but does not verify that consent was properly obtained. You indemnify InvestorOS against any claims, fines, or penalties arising from non-compliant SMS communications.

4.5 Content

You are responsible for all content published through InvestorOS on your behalf. You may not use the Service to publish or send:

• False, misleading, or deceptive content
• Content that infringes third-party intellectual property
• Spam or unsolicited bulk messages
• Content that violates any applicable law or regulation
• Discriminatory content in violation of fair housing, fair lending, or consumer protection laws

4.6 Prohibited Uses

You may not:

• Reverse engineer, decompile, or attempt to extract the source code of InvestorOS
• Use the Service to compete with InvestorOS or build a similar product
• Attempt to bypass any security measures or access other clients' data
• Use the Service in any way that could damage, overload, or impair the platform
• Use AI agent outputs without reasonable human review before acting on them in high-stakes decisions

5. Our Responsibilities and Service Level

5.1 What We Provide

InvestorOS provides the platform and AI agents as described in your plan. We commit to:

• Maintaining platform uptime of at least 99% monthly (excluding scheduled maintenance)
• Notifying you of scheduled maintenance at least 24 hours in advance
• Responding to support requests within 1 business day (Growth/Pro plans) or 3 business days (Starter)

5.2 What We Do Not Guarantee

• AI agent outputs: AI-generated content (articles, SMS responses, social posts) may contain errors. You are responsible for reviewing outputs before they are published or sent. InvestorOS is not liable for inaccuracies in AI-generated content.
• Third-party platform availability: We are not responsible for downtime or policy changes by Facebook, Google, Telnyx, Airtable, or other third-party platforms that may affect service functionality.
• SEO results: We do not guarantee specific search rankings or organic traffic outcomes from our content agents.
• Lead volume: We do not guarantee any specific number of leads, conversions, or business results.
• Social media reach: We do not guarantee any specific reach, engagement, or follower growth from social media management.

5.3 Third-Party Access (Manager Access)

For certain features (Google Business Profile, Facebook Page management), you grant our operational account (ops@investoros.tech) "Manager" or "Editor" access to your accounts. We commit to:

• Using this access only to perform services described in your plan
• Not making changes outside the scope of agreed services without your approval
• Removing our access within 7 days of your cancellation request

6. Intellectual Property

6.1 Your Content

You retain all ownership rights to content your business produces and content created by InvestorOS agents on your behalf (articles, social posts, etc.). By using the Service, you grant us a limited license to use your content solely to operate the Service.

6.2 InvestorOS Platform

All rights to the InvestorOS platform, software, AI agents, and technology are owned by Pinnacle Holdings Group LLC. These Terms do not grant you any ownership rights to the platform.

6.3 Your Data

You own your business data, lead data, and customer data. See our Privacy Policy for how we handle data. We claim no ownership over your customers' information.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy at investoros.tech/privacy, incorporated into these Terms by reference. Key points:

• We do not sell your data
• We do not use your data to train AI models
• You can export your data at any time from the dashboard
• Upon cancellation, data is deleted within 30 days

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• INVESTOROS AND PINNACLE HOLDINGS GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES
• OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY DISRUPTION TO YOUR BUSINESS RESULTING FROM THIRD-PARTY PLATFORM CHANGES (FACEBOOK, GOOGLE, TELNYX, ETC.)

9. Indemnification

You agree to indemnify, defend, and hold harmless InvestorOS, Pinnacle Holdings Group LLC, and our officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from:

• Your violation of these Terms
• Your violation of any third-party platform's terms of service
• Non-compliant SMS communications sent through our platform
• Your use of AI-generated content without appropriate review
• Any breach of your representations and warranties

10. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service with 30 days advance notice. In the event of a material reduction in features included in your plan, you will receive a pro-rated refund or credit for the remaining subscription period.

11. Termination

We may suspend or terminate your account immediately, without notice, if:

• You violate TCPA requirements or send unauthorized SMS messages
• You use the Service for illegal purposes
• You fail to pay subscription fees after a 10-day grace period
• You engage in activity that poses a security risk to the platform or other clients

Upon termination for cause, no refunds are issued. You will receive a data export within 7 days.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Brown County, Wisconsin, except that either party may seek injunctive relief in court for intellectual property violations.

13. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and InvestorOS
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger or acquisition.
